Memorandum

Part of the intention behind the Companies Act 2006 was to simplify starting and operating a limited company. Previously companies had to adopt Memorandum and Articles of Association that were adopted from Table A. These were often heavily worded documents with references to parts of the Companies Act 1985 and Table A regulations. The lasted 2006 act however, has simplified both the memorandum and the articles.

The latest version of the memorandum is now a simple statement that confirms the subscribers (shareholders) wish to be formed as a company.
